Right of first refusal
Right of first refusal (ROFR or RFR) is a contractual right that gives its holder the option to enter a business transaction with the owner of something, according to specified terms, before the owner is entitled to enter into that transaction with a third party. In brief, the right of first refusal is similar in concept to a call option.
An ROFR can cover almost any sort of asset, including real estate, personal property, a patent license, a screenplay, or an interest in a business. It might also cover business transactions that are not strictly assets, such as the right to enter a joint venture or distribution arrangement. In entertainment, a right of first refusal on a concept or a screenplay would give the holder the right to make that movie first. Only if the holder turns it down may the owner then shop it around to other parties.
Because an ROFR is a contract right, the holder's remedies for breach are typically limited to recovery of damages. In other words, if the owner sells the asset to a third party without offering the holder the opportunity to purchase it first, the holder can then sue the owner for damages but may have a difficult time obtaining a court order to stop or reverse the sale. And he told me that in all his years in the military, he has never seen young people of greater quality than those that are in the uniform today. And I found myself remembering-and if you'll permit me to use a bit of profanity, but I'm quoting accurately-back in World War II someone asked General George Marshall if we had a
secret weapon, and he said, "Yes, the best damn kids in the world." Well, I can tell you, after what I've seen of today's youth and those in uniform today, the Commander in Chief can say the same thing that George Marshall said, and I do say it about those young people of ours. LOS ANGELES -- Mounting evidence links former football star O.J. Simpson to the slayings of his former wife and a man who was a waiter at a trendy Brentwood restaurant, Los Angeles police sources said Tuesday.
Much of the investigation Tuesday was focused on bloodstains -- both at Simpson's Brentwood mansion and at his former wife's townhouse two miles away, where the crime was committed late Sunday.
Police officers also combed Simpson's Tudor-style home for clues, taking away a pair of running shoes and towing a Ford Bronco parked outside.
Nicole Brown Simpson, 35, and Ronald Lyle Goldman, 25, were stabbed to death Sunday night
Police said Tuesday that Nicole Simpson and Goldman, a waiter at a Brentwood restaurant she frequented, were not linked romantically. Friends said he apparently was just in the wrong place at the wrong time, returning a pair of glasses she had left at the restaurant, when the attack occurred.
Neither the coroner's office nor police would release further details about the nature of the stab wounds or the weapons used to inflict them, but a source close to the investigation said the woman's throat was slashed and Goldman's wounds

As used in this chapter—
(1) the term “international terrorism” means activities that—

WACO -- The Branch Davidian compound with 96 religious cultists inside -- 17 of them children -- burst into flames about noon today as federal agents continued a tear gas attack on the building that began at dawn.
The first flames became visible in the east section of the sprawling structure about noon. A second blaze broke out minutes later in the compound watch tower. By 12:30 p.m. the majority of the compound appeared to be engulfed in flames. No apparent attempts were made to battle the blaze. There were no reports that anyone fled the building.
The assault on the compound began when FBI agents in an armored vehicle battered through the walls of the compound and pumped tear gas inside in an effort to force out cult leader David Koresh and his followers to end a 51-day standoff.
The assault began about 6 a.m. and by midmorning, a hole approximately 10 feet wide had been punched into the building near the front door. At least three holes had been knocked in the southwest wall, effectively destroying the second story.

The maker of legendary movies "Titanic," "Aliens" and "The Terminator" is no longer limiting his zest for extracurricular exploration to the depths of the ocean.
Nowadays, James Cameron is spending more of his "spare" time involved in NASA's bid to send human explorers deeper into the solar system.
He's always been a space nut. He says he cried when, at 15 years old, he watched shuttle Columbia launch for the first time. He cried again the first time he saw -- in person -- a shuttle blast off from Kennedy Space Center, and felt the vibrations of the sound wave slam into his chest and move right through him.
Now, however, he's not just dreaming and watching from the sidelines. He's trying to help.
Two years ago, not long after the Columbia accident claimed the lives of seven astronauts, Cameron attended his first meeting as a member of the NASA Advisory Council, a body that counsels the agency's administrator.
Slowly, he became more engaged. Now, he's working as an investigator on a camera for a Mars mission set for this decade.
In a talk to NASA and contractor engineers and managers last week in Orlando, Cameron cautioned them to make good on the opportunity President Bush has given them with a new mission to send humans back to the moon and on to Mars.
"We so desperately need not to blow it," Cameron said
