SOUTHERN NATIONAL COMPLETES MERGER WITH THE FIRST

WINSTON-SALEM, N.C., Jan. 28 /PRNewswire/ -- Southern National Corporation (NYSE: SNB) today completed its largest merger ever, the acquisition of The First Savings Bank, FSB (NASDAQ-NMS: FTSC) of Greenville, S.C., a $2.1 billion thrift that allows Southern National to become the third largest bank in South Carolina and the top mortgage lender in the state.

Each of The First's 56 branch offices, including 11 Supermarket Banking Centers, will open as Southern National offices on Monday, Jan. 31. Southern National enters 21 new cities and expands its South Carolina network to 79 offices in 39 cities.

"This is an exciting day in our bank's history," said G. Lee Cory, president of Southern National Bank of South Carolina, which before the merger had assets of $650 million and ranked only 12th in total deposits in the state. "We now have the depth of resources to compete on a major level throughout South Carolina.

"We are now strategically positioned in every major city in the state and have in place a banking network that offers our customers, both commercial and consumer, more convenience than they have ever had before. For customers of The First, there will be more products and services and more locations. Both sides win."

Shareholders of The First overwhelmingly approved the merger in a vote on Dec. 27, 1993. Southern National will issue .855 shares of its common stock for each of the outstanding shares and options of The First. Based on Southern National's closing price of $20.25 on Jan. 27, The First shareholders will receive Southern National stock worth $17.31 per share of The First stock.

With approximately $2.7 billion in assets in South Carolina, Southern National now holds the largest share of deposits in Greenville, considered along with Spartanburg to be the most attractive market in the state. Greel?le also becomes Southern National's new state headquarters and the site for the bank's consolidated mortgage operations.

The merger also significantly improves Southern National's presence in the Charleston and Columbia markets.

"Our South Carolina operations did very well in 1993, so we feel very good about our momentum going into this merger," said Southern National Chairman Glenn Orr, a Spartanburg native and graduate of nearby Wofford College.

"Last year, our average loans in South Carolina grew 12% and our average core deposits, 19%. We are very pleased with those numbers because they reflect internal growth only."

Of the 82 branches owned by Southern National and The First, only three will close because of overlap. All cities will continue to be served.

"It's amazing how well our two organizations fit," said former First President Luther Boliek, who will now serve as vice chairman of Southern National.

yeah.....and that letter from Maria Coleman that was dated 4/11/91. I wrote a while back about how that date was when the First Gulf War ended. What does that mean? She "learned so much more than I have ever learned before" or something like that. I remember that part from the letter because of a curious grammar structure in that sentence. She was the assistant to the President of First Federal Savings and Loan.
